1. About these Terms

1.1 These Terms of Use (the "Terms") are a legal agreement between you and L. Callaghan Holdings Inc. ("we", "us" or "our"), a corporation incorporated under the Canada Business Corporations Act (corporation number 1833348-3) with its registered office in Newmarket, Ontario.

1.2 These Terms apply to Run the Table, Rafters 84-0 and any other game we publish that links to these Terms (each a "Game"), whether you play on the web, as an installed web app, or through an app downloaded from an app store. They also apply to our websites.

1.3 By opening or playing a Game, you agree to these Terms. If you do not agree, do not use the Games.

1.4 Our Privacy Policy explains how we handle your personal information. It forms part of these Terms.

2. Who can play

2.1 You must be at least 13 years old to use the Games.

2.2 If you are under the age of majority where you live (18 or 19 in most of Canada), you may use the Games only with the consent of a parent or guardian, who agrees to these Terms on your behalf and is responsible for your use of the Games.

2.3 If you download a Game from the Apple App Store or Google Play, the store's own terms also apply to the download. Those terms are between you and the store.

3. Your profile

3.1 Anonymous play. When you first open a Game, we create an anonymous profile linked to your browser or device so we can save your stats, streaks, achievements and leaderboard entries. You do not need to give us an email address or password.

3.2 Keeping your progress. If you clear your browser data, uninstall an app or change devices, your progress may be lost unless you have linked a sign-in method we offer, such as Sign in with Apple or email. We cannot always recover an anonymous profile.

3.3 Your responsibility. You are responsible for activity on your profile and device.

4. Names and content you add

4.1 Some features let you add content that other players can see, such as a display name, a league name or a challenge ("Your Content"). You keep ownership of Your Content.

4.2 You give us a worldwide, royalty-free, non-exclusive licence to host, store, display and share Your Content within the Games, including on leaderboards, in leagues and challenges, and on share cards, for as long as it remains in a Game.

4.3 Your Content must not:

be hateful, harassing, threatening, sexually explicit or otherwise offensive;
impersonate another person, including a player, coach or public figure;
include anyone's personal information, such as a full name, phone number or address, without their permission;
infringe anyone else's trademark, copyright or other rights; or
advertise or promote anything.

4.4 We may change, hide or remove Your Content at any time, including by replacing a display name with a default name.

5. Fair play

5.1 Leaderboards only work if everyone plays fairly. You must not:

modify, tamper with or manipulate a Game, its results or its leaderboards;
use bots, scripts, automation or modified clients;
create multiple profiles to gain an advantage or get around limits, such as reroll limits;
exploit bugs or glitches instead of reporting them to us;
interfere with or overload our servers or networks;
copy, scrape or extract game data or player cards in bulk; or
reverse engineer a Game, except where the law allows it despite this restriction.

5.2 We may review, adjust or remove any result or leaderboard entry, reset stats, and suspend or remove profiles that we reasonably believe break these Terms.

5.3 Daily Challenges reset at 12:00 a.m. Eastern Time. We may change challenge schedules and reset leaderboards, for example at the start of a new season.

6. Free to play and advertising

6.1 The Games are free to play and are supported by advertising.

6.2 We may show ads from third-party ad partners. These may include a full-screen ad between parts of a game, which you can close, and optional rewarded ads, which you can choose to watch in exchange for an in-game benefit such as an extra reroll.

6.3 Rewarded ads are always optional. In-game benefits such as rerolls have no monetary value, cannot be sold, transferred or exchanged for money, and may change or expire.

6.4 We do not control the content of third-party ads or the websites and apps they link to. Any dealings you have with an advertiser are between you and that advertiser. Our Privacy Policy explains how ad partners may use information about your device.

7. Paid features

7.1 The Games do not currently sell anything. If we offer paid features in the future, such as removing ads, we will show you the price and any additional terms before you buy.

7.2 Purchases made through the Apple App Store or Google Play are also governed by that store's terms, including its refund policy. Nothing in these Terms limits the rights you have under consumer protection law.

8. No gambling and no prizes

8.1 The Games are for entertainment only. Simulated seasons and results are generated by our software from historical statistics and random chance. They do not predict real games or outcomes.

8.2 The Games involve no wagering and no real-money prizes. Nothing you win, earn or unlock in a Game has any cash value.

8.3 You must not use the Games, or results from them, for betting, wagering or paid contests. If we ever run a contest or promotion, it will have its own official rules.

9. Sports data and trademarks

9.1 No affiliation. The Games are independent products. They are not affiliated with, sponsored by or endorsed by the National Football League, the National Hockey League, any team, any players' association, any player or any statistics provider.

9.2 Names and statistics. We use the names of real leagues, teams and players, and historical statistics, only to identify and describe real historical teams, players and seasons. All trademarks belong to their owners. We do not use league or team logos.

9.3 Ratings are our opinion. Player and team ratings are our own assessments, calculated with our own formulas. They are not official and do not reflect the views of any league, team or player.

9.4 Accuracy. We compile historical statistics from public sources and work to keep them accurate, but they may contain errors. Tell us if you spot one at info@runthetable17-0.com.

9.5 Rights holders. If you believe something in a Game uses your rights without permission, contact us at info@runthetable17-0.com and we will review it promptly.

10. Our intellectual property

10.1 We, or our licensors, own the Games and everything in them, other than Your Content and third-party material. This includes the software, game design, names and logos such as Run the Table and Rafters 84-0, ratings, text and graphics.

10.2 We give you a limited, personal, non-commercial, non-exclusive, non-transferable licence to use the Games on your own devices in line with these Terms. We may end this licence if you break these Terms.

10.3 You may share images and links created with a Game's share features, such as share cards and challenge links, on social media and in messages for personal, non-commercial purposes.

10.4 If you send us ideas or feedback, we may use them freely without owing you anything.

11. Changes to the Games

11.1 We regularly update the Games. We may add, change or remove features, player cards, ratings, game modes and rules, and we may stop offering a Game.

11.2 The Games may sometimes be unavailable, for example during maintenance or an outage. We do not guarantee that your stats, records or leaderboard positions will be kept permanently.

12. Disclaimers

12.1 To the extent permitted by law, the Games are provided "as is" and "as available", without warranties or conditions of any kind, including any about quality, fitness for a particular purpose, accuracy or uninterrupted availability.

12.2 Nothing in these Terms excludes any warranty, condition or right that cannot be excluded under the consumer protection law that applies to you.

13. Limitation of liability

13.1 To the extent permitted by law, we are not liable for indirect, incidental, special or consequential losses, or for loss of data, progress, stats or rankings, arising from your use of the Games.

13.2 To the extent permitted by law, our total liability to you for all claims relating to the Games is limited to the greater of the amount you paid us in the 12 months before the claim and CAD $50.

13.3 Nothing in these Terms limits our liability for fraud, gross negligence, wilful misconduct, or anything else that cannot be limited under applicable law.

14. Responsibility for misuse

To the extent permitted by law, you are responsible for any claim made against us by a third party that results from Your Content or from your breach of these Terms.

15. Ending your use

15.1 You may stop using the Games at any time. Our Privacy Policy explains how to ask us to delete your data.

15.2 We may suspend or end your access to a Game if you break these Terms or if we stop offering that Game.

15.3 Sections 4.2, 9, 10, 12, 13, 14, 17 and 18 continue to apply after your use ends.

16. Changes to these Terms

16.1 We may update these Terms. When we do, we will post the new version with a new effective date.

16.2 If a change materially affects your rights, we will tell you in the Games, for example with a notice on the home screen, before it takes effect.

16.3 If you keep using the Games after a change takes effect, you accept the updated Terms. If you do not agree, stop using the Games and you can ask us to delete your data.

17. Governing law and disputes

17.1 These Terms are governed by the laws of Ontario and the federal laws of Canada that apply there.

17.2 If you have a concern, please contact us first at info@runthetable17-0.com so we can try to resolve it.

17.3 Any dispute may be brought in the courts of Ontario. If you are a consumer, you may also bring a claim in the courts where you live, if your local law allows it.

17.4 These Terms do not require arbitration and do not stop you from taking part in a class action. Nothing in these Terms limits your rights under Ontario's Consumer Protection Act, 2002 or the consumer protection laws of the place where you live.

18. General

18.1 These Terms and our Privacy Policy are the entire agreement between you and us about the Games.

18.2 If any part of these Terms is found unenforceable, the rest stays in effect. If we do not enforce a term, that is not a waiver.

18.3 We may transfer these Terms, by notice to you, to an affiliate or to a successor that takes over a Game, for example a subsidiary created to operate it. You may not transfer your rights under these Terms.
